Odd, when does it freeze? On the loading screen? If so, does it generate a crash log?

when im play gta underground then fps little drop and pc freez and turns off

The pc freezing and turning off might be the cause of your CPU overheating, get more coolers or rearrange the cables a little bit to see if that does anything also install a program for checking pc temperature and for the fps set everything to low and have atleast 800x600 resolution.Hope this helps

I think that you haven't installed vcredist yet. This occurs if you don't installed them. First try to install them.
